Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the CitePulse website and services (the "Service") operated by GeoAI Solutions LLC (trading as GeoFlow), Sheridan, Wyoming, USA ("CitePulse", "we", "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. The Service
CitePulse audits and monitors how AI assistants cite businesses by querying third-party AI models and analyzing the responses, and by performing technical checks on a target website. The Service produces scores, reports and related outputs. We may update, improve or modify the Service over time.
3. Accounts and eligibility
The Service is intended for business use by users aged 18 or over. You are responsible for the accuracy of information you submit and for any activity conducted through your subscription. You agree to submit only domains you own or are authorized to audit.
4. Acceptable use
- Do not use the Service unlawfully or to infringe the rights of others.
- Do not attempt to disrupt, reverse engineer, scrape or overload the Service.
- Do not resell or white-label the Service except as permitted by an applicable plan (for example, the Scale plan).
- Do not submit domains or content you are not authorized to audit.
5. Plans, billing, auto-renewal and cancellation
The free mini-audit is provided at no charge. Paid monitoring plans are billed in advance through our payment processor (Stripe) in USD or EUR. Subscriptions renew automatically for successive periods (monthly unless stated otherwise) at the then-current price until you cancel. By subscribing you authorize us, through Stripe, to charge your payment method on each renewal date. You may cancel at any time, effective at the end of the current billing period, via your billing portal or by emailing us; cancellation stops future renewals but does not refund the current period. The one-time full audit is a separate, single charge and is not a subscription. Fees are exclusive of applicable taxes/VAT. Refunds and cancellation are governed by our Refund & Cancellation Policy.
6. Nature of results, AI variability and disclaimers
AI model outputs are probabilistic and change over time; the same query may produce different answers, and AI models can return inaccurate, outdated or fabricated statements. CitePulse reports reflect responses observed at the time of testing only and are provided for informational purposes. We do not guarantee that any AI assistant will cite, mention, rank or recommend your business, nor that scores will improve; outcomes depend on factors outside our control, including third-party AI models, their updates, and external content. The Results do not constitute legal, marketing, financial, investment or other professional advice and must not be relied upon as such. The Service and the Results are provided "as is" and "as available" and, to the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. 7. Intellectual property
CitePulse and its licensors own all rights in the Service, including software, scoring methodology, branding and report formats. We grant you a limited, non-exclusive, non-transferable right to use the Service and the reports we generate for your internal business purposes. You retain rights in the input data you provide.
8. Third-party services
The Service relies on third parties including Cloudflare, Resend, Stripe, OpenAI, Anthropic, Google and Perplexity. Their availability and terms are outside our control, and we are not responsible for their acts or omissions.
9. Limitation of liability
To the maximum extent permitted by law, CitePulse shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, whether or not foreseeable and regardless of the theory of liability. Our total aggregate liability arising out of or relating to the Service shall not exceed the total amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, for death or personal injury caused by negligence, fraud, or any mandatory consumer rights).
9a. API terms (summary)
Where your plan includes API access, you must keep API credentials confidential, use the API only within the documented rate limits and scopes, and not resell, sublicense or expose the raw API to third parties except as expressly permitted (for example, white-label use under the Scale plan for clients you are authorized to audit). We may meter, throttle, suspend or change the API to protect the Service or comply with our upstream providers' terms. Abuse of the API is a breach of these Terms.
10. Indemnification
You agree to indemnify and hold CitePulse harmless from claims arising out of your misuse of the Service or breach of these Terms, including auditing domains you were not authorized to audit.
11. Termination
We may suspend or terminate access for breach of these Terms or for conduct that risks harm to the Service or others. You may stop using the Service at any time.
12. Business and consumer users (B2B vs. consumer)
CitePulse is intended and marketed as a business-to-business (B2B) service. The disclaimers, warranty exclusions and liability limitations above are intended to apply to the fullest extent permitted between businesses. If you use the Service as a consumer (an individual acting outside your trade, business or profession), mandatory consumer-protection laws of your country of residence may grant you rights that cannot be waived — for example, statutory warranties, the right of withdrawal, and protection against certain unfair terms. Nothing in these Terms removes those mandatory rights, and where a clause conflicts with them, the mandatory law prevails for that consumer. Consumer cancellation and withdrawal are addressed in our Refund & Cancellation Policy.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. The courts located in Wyoming shall have jurisdiction, except where mandatory law (including EU/EEA consumer law) gives a consumer the right to bring proceedings in, or requires application of the law of, their country of residence. Any arbitration or class-action-waiver provisions are subject to counsel review and to mandatory consumer protections. 14. Changes
We may modify these Terms; material changes will be indicated by an updated "Last updated" date. Continued use after changes take effect constitutes acceptance.
